INTRO Agreement to our Legal Terms

EasilyAI ("Company," "we," "us," "our") is owned and operated by Maicol Alexander Montaño Beltrán, an individual operating under Colombian law, based in Cajicá, Cundinamarca, Colombia.

We operate the website https://www.easilyai.io (the "Site"), as well as any other related products and services that refer or link to these Legal Terms (collectively, the "Services").

EasilyAI is an AI-powered platform that enables users to create transcriptions, translations, and audio dubbing for audiovisual content. It is designed for content creators, agencies, and media studios.

These Legal Terms constitute a legally binding agreement between you and Maicol Alexander Montaño Beltran, concerning your access to and use of the Services. You agree that by accessing the Services, you have read, understood, and agreed to be bound by all of these Legal Terms.

IF YOU DO NOT AGREE WITH ALL OF THESE LEGAL TERMS, THEN YOU ARE EXPRESSLY PROHIBITED FROM USING THE SERVICES AND YOU MUST DISCONTINUE USE IMMEDIATELY.

The Services are intended for users who are at least 18 years old. Persons under the age of 18 are not permitted to use or register for the Services.

1 Our Services

The information provided when using the Services is not intended for distribution to or use by any person or entity in any jurisdiction or country where such distribution or use would be contrary to law or regulation or which would subject us to any registration requirement within such jurisdiction or country.

The Services are not tailored to comply with industry-specific regulations (HIPAA, FISMA, etc.), so if your interactions would be subjected to such laws, you may not use the Services. You may not use the Services in a way that would violate the Gramm-Leach-Bliley Act (GLBA).

2 Intellectual Property Rights

Our intellectual property

We are the owner or the licensee of all intellectual property rights in our Services, including all source code, functionality, software, website designs, audio, video, text, photographs, and graphics in the Services (collectively, the "Content"), as well as the trademarks, service marks, and logos contained therein (the "Marks").

Our Content and Marks are protected by copyright and trademark laws and treaties in the United States and around the world.

Your use of our Services

Subject to your compliance with these Legal Terms, we grant you a non-exclusive, non-transferable, revocable license to access the Services and download or print a copy of any portion of the Content solely for your personal, non-commercial use or internal business purpose.

No part of the Services and no Content or Marks may be copied, reproduced, aggregated, republished, uploaded, posted, publicly displayed, encoded, translated, transmitted, distributed, sold, licensed, or otherwise exploited for any commercial purpose whatsoever, without our express prior written permission.

Your submissions and contributions

By directly sending us any question, comment, suggestion, idea, feedback, or other information about the Services ("Submissions"), you agree to assign to us all intellectual property rights in such Submission.

3 User Representations

By using the Services, you represent and warrant that:

• All registration information you submit will be true, accurate, current, and complete.
• You will maintain the accuracy of such information and promptly update it as necessary.
• You have the legal capacity and agree to comply with these Legal Terms.
• You are not a minor in the jurisdiction in which you reside.
• You will not access the Services through automated or non-human means, whether through a bot, script or otherwise.
• You will not use the Services for any illegal or unauthorized purpose.
• Your use of the Services will not violate any applicable law or regulation.

4 User Registration

You may be required to register to use the Services. You agree to keep your password confidential and will be responsible for all use of your account and password. We reserve the right to remove, reclaim, or change a username you select if we determine, in our sole discretion, that such username is inappropriate, obscene, or otherwise objectionable.

5 Purchases and Payment

All payments are processed by Lemon Squeezy as Merchant of Record (see Section 59). Accepted payment methods are determined by Lemon Squeezy and may include Visa, Mastercard, American Express, Discover, and PayPal, subject to availability in your region. EasilyAI does not independently process or store any payment information.

You agree to provide current, complete, and accurate purchase and account information for all purchases made via the Services. All payments shall be in US dollars. We may change prices at any time, with notice as described in Section 48.

6 Subscriptions

Billing and Renewal

Your subscription will continue and automatically renew unless canceled. You consent to our charging your payment method on a recurring basis without requiring your prior approval for each recurring charge, until such time as you cancel. The length of your billing cycle is monthly.

Subscription Credits

Each subscription plan includes a fixed number of credits allocated at the start of each billing cycle. Subscription credits expire twenty-eight (28) days from the date of allocation and do not roll over to the following billing cycle. Unused subscription credits are automatically removed from your account at the end of each billing period and are non-refundable. Credits cannot be frozen, paused, or extended under any circumstances.

Cancellation

You can cancel your subscription at any time by logging into your account. Your cancellation will take effect at the end of the current paid term. Any unused credits remaining at the time of cancellation will remain accessible until the end of the current paid billing period, after which they will expire automatically and will not be refunded, carried over, frozen, or converted to any other form of credit or compensation. 7 Prohibited Activities

You may not access or use the Services for any purpose other than that for which we make the Services available. As a user of the Services, you agree not to:

• Systematically retrieve data or other content from the Services to create or compile a collection, compilation, database, or directory without written permission from us.
• Trick, defraud, or mislead us and other users, especially in any attempt to learn sensitive account information.
• Circumvent, disable, or otherwise interfere with security-related features of the Services.
• Use the Services in a manner inconsistent with any applicable laws or regulations.
• Upload or transmit viruses, Trojan horses, or other malicious material.
• Engage in any automated use of the system, such as using scripts, bots, or scraping tools.
• Attempt to impersonate another user or person.
• Upload content containing voices, faces, or likenesses of individuals without their explicit consent.
• Use the platform to create deepfake content intended to deceive, defame, or harm any individual.
• Clone voices or manipulate facial features of any person without authorization.
• Upload copyrighted audiovisual content without proper licensing or rights.
• Use AI-generated outputs for illegal, defamatory, or fraudulent purposes.
• Reverse engineer, decompile, or attempt to extract the source code of the platform or its AI models.
• Share, resell, or redistribute platform access or outputs as your own AI service without written authorization from EasilyAI.
• Attempt to circumvent credit limits, subscription restrictions, or any other usage controls.
• Use the platform to process content involving minors in a sexual, exploitative, or harmful manner.

8 User Generated Contributions

The Services may invite you to chat, contribute to, or participate in blogs, message boards, online forums, and other functionality. Any Contributions you transmit may be treated as non-confidential and non-proprietary. When you create or make available any Contributions, you thereby represent and warrant that:

• The creation, distribution, transmission, public display, or performance of your Contributions does not and will not infringe the proprietary rights of any third party.
• You are the creator and owner of or have the necessary licenses, rights, consents, releases, and permissions to authorize us to use your Contributions.
• You have the written consent of each and every identifiable individual person in your Contributions.
• Your Contributions are not false, inaccurate, or misleading.
• Your Contributions do not violate any applicable law, regulation, or rule.
• Your Contributions do not violate the privacy or publicity rights of any third party.

9 Contribution License

By posting your Contributions, you grant to us a limited, non-exclusive, royalty-free, worldwide license to host, store, cache, reproduce, and display such Contributions solely to the extent necessary to operate and deliver the Services you have requested. This license does not grant EasilyAI any right to use your Contributions for advertising, commercial redistribution, or any purpose beyond the delivery of the Services. This license terminates upon deletion of your Contributions or termination of your account, subject to any retention periods required by applicable law or described in our Privacy Policy.

10 Social Media

As part of the functionality of the Services, you may link your account with online accounts you have with third-party service providers ("Third-Party Account"). You represent and warrant that you are entitled to disclose your Third-Party Account login information to us without breach of any of the terms and conditions that govern your use of the applicable Third-Party Account.

11 Third-Party Websites and Content

The Services may contain links to other websites ("Third-Party Websites") as well as articles, photographs, text, graphics, pictures, designs, music, sound, video, information, applications, software, and other content belonging to or originating from third parties ("Third-Party Content"). Such Third-Party Websites and Content are not investigated, monitored, or checked for accuracy by us.

12 Services Management

We reserve the right, but not the obligation, to: (1) monitor the Services for violations of these Legal Terms; (2) take appropriate legal action against anyone who violates the law or these Legal Terms; (3) in our sole discretion, refuse, restrict access to, limit the availability of, or disable any of your Contributions; (4) remove from the Services or disable all files and content that are excessive in size or burdensome to our systems; and (5) otherwise manage the Services in a manner designed to protect our rights and property.

13 Privacy Policy

We care about data privacy and security. Please review our Privacy Policy at https://app.easilyai.io/privacy.html. By using the Services, you agree to be bound by our Privacy Policy, which is incorporated into these Legal Terms.

14 DMCA Notice and Policy

We respect the intellectual property rights of others. If you believe that any material available on or through the Services infringes upon any copyright you own or control, please notify our Designated Copyright Agent:

15 Term and Termination

These Legal Terms shall remain in full force and effect while you use the Services.

WE RESERVE THE RIGHT TO, IN OUR SOLE DISCRETION AND WITHOUT NOTICE OR LIABILITY, DENY ACCESS TO AND USE OF THE SERVICES (INCLUDING BLOCKING CERTAIN IP ADDRESSES), TO ANY PERSON FOR ANY REASON, INCLUDING WITHOUT LIMITATION FOR BREACH OF ANY REPRESENTATION, WARRANTY, OR COVENANT CONTAINED IN THESE LEGAL TERMS.

16 Modifications and Interruptions

We reserve the right to change, modify, or remove the contents of the Services at any time or for any reason at our sole discretion without notice. We cannot guarantee the Services will be available at all times. You agree that we have no liability whatsoever for any loss, damage, or inconvenience caused by your inability to access or use the Services during any downtime or discontinuance of the Services.

17 Governing Law

These Legal Terms shall be governed by and construed in accordance with the laws of the Republic of Colombia, without regard to its conflict of law principles. Maicol Alexander Montaño Beltrán and yourself irrevocably consent that the competent courts of Colombia shall have exclusive jurisdiction to resolve any dispute which may arise in connection with these Legal Terms.

Where a party is unable to appear in person due to geographic location, the parties agree that judicial or dispute resolution proceedings may be conducted entirely by virtual means (videoconference or equivalent remote technology), provided that both parties have access to the necessary technology and due process is preserved. Neither party may unreasonably refuse to participate in virtual proceedings solely on the grounds of location.

18 Dispute Resolution

Informal Negotiations

To expedite resolution and control the cost of any dispute, controversy, or claim related to these Legal Terms (each a "Dispute"), the Parties agree to first attempt to negotiate any Dispute informally for at least thirty (30) days before initiating arbitration. The party wishing to initiate formal proceedings must send a written notice to [email protected] describing the nature of the Dispute and the relief sought. The thirty (30) day period begins upon receipt of such notice.

Binding Arbitration

If informal negotiations fail to resolve the Dispute, it shall be finally settled by binding arbitration administered by the Centro de Arbitraje y Conciliación of the Cámara de Comercio de Bogotá ("CCB"), in accordance with its applicable arbitration rules. The seat of arbitration shall be Bogotá, Colombia. The language of the proceedings shall be Spanish. The governing law shall be the substantive law of Colombia. The arbitral award shall be final and binding upon both parties. Either party may request that arbitration proceedings be conducted remotely by videoconference where in-person attendance would impose a disproportionate burden on any party.

Restrictions

The Parties agree that any arbitration shall be limited to the Dispute between the Parties individually. No arbitration shall be joined with any other proceeding; there is no right or authority for any Dispute to be arbitrated on a class-action basis or to utilize class action procedures.

19 Corrections

There may be information on the Services that contains typographical errors, inaccuracies, or omissions. We reserve the right to correct any errors, inaccuracies, or omissions and to change or update the information on the Services at any time, without prior notice.

20 Disclaimer

THE SERVICES ARE PROVIDED ON AN AS-IS AND AS-AVAILABLE BASIS. YOU AGREE THAT YOUR USE OF THE SERVICES WILL BE AT YOUR SOLE RISK. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, IN CONNECTION WITH THE SERVICES AND YOUR USE THEREOF, INCLUDING, WITHOUT LIMITATION, THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

21 Limitations of Liability

IN NO EVENT WILL WE OR OUR DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY DIRECT, INDIRECT, CONSEQUENTIAL, EXEMPLARY, INCIDENTAL, SPECIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFIT, LOST REVENUE, LOSS OF DATA, OR OTHER DAMAGES ARISING FROM YOUR USE OF THE SERVICES, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. NOTWITHSTANDING ANYTHING TO THE CONTRARY CONTAINED HEREIN, OUR LIABILITY TO YOU FOR ANY CAUSE WHATSOEVER WILL AT ALL TIMES BE LIMITED TO THE AMOUNT PAID, IF ANY, BY YOU TO US DURING THE SIX (6) MONTH PERIOD PRIOR TO ANY CAUSE OF ACTION ARISING.

22 Indemnification

You agree to defend, indemnify, and hold us harmless, including our subsidiaries, affiliates, and all of our respective officers, agents, partners, and employees, from and against any loss, damage, liability, claim, or demand, including reasonable attorneys' fees and expenses, made by any third party due to or arising out of: (1) your Contributions; (2) use of the Services; (3) breach of these Legal Terms; (4) any breach of your representations and warranties set forth in these Legal Terms; (5) your violation of the rights of a third party, including but not limited to intellectual property rights; or (6) any overt harmful act toward any other user of the Services.

Without limiting the foregoing, you specifically agree to indemnify and hold EasilyAI harmless from any claim, liability, cost, or expense — including legal fees — arising out of or related to:

• Unauthorized voice cloning or likeness use: any claim brought by a third party whose voice, likeness, facial features, or biometric identifiers were submitted to the Services without their express prior consent, including claims under privacy law, image rights, or applicable biometric data protection statutes.
• Unlicensed input content: any claim that the audiovisual content, audio recordings, or other materials you submitted to the Services infringed the copyright, neighboring rights, or other intellectual property rights of any third party.
• Misuse of AI-generated outputs: any claim arising from your use, publication, or distribution of outputs generated through the Services, including transcriptions, translations, dubbed audio, or synthesized voice, in a manner that violates applicable law or the rights of third parties.
• Deepfake or synthetic media harm: any claim, regulatory action, or legal proceeding arising from your creation or distribution of synthetic media — including AI-dubbed video, lip-synced content, or voice-cloned audio — that misrepresents, defames, or causes harm to any identifiable individual.

EasilyAI reserves the right, at your expense, to assume exclusive control of the defense of any matter subject to indemnification by you. You agree to cooperate with EasilyAI's defense of such claims and not to settle any such claim without EasilyAI's prior written consent.

23 User Data

We will maintain certain data that you transmit to the Services for the purpose of managing the performance of the Services, as well as data relating to your use of the Services. Although we perform regular routine backups of data, you are solely responsible for all data that you transmit or that relates to any activity you have undertaken using the Services.

24 Electronic Communications, Transactions, and Signatures

Visiting the Services, sending us emails, and completing online forms constitute electronic communications. You consent to receive electronic communications, and you agree that all agreements, notices, disclosures, and other communications we provide to you electronically satisfy any legal requirement that such communication be in writing.

25 California Users and Residents

If any complaint with us is not satisfactorily resolved, you can contact the Complaint Assistance Unit of the Division of Consumer Services of the California Department of Consumer Affairs in writing at 1625 North Market Blvd., Suite N 112, Sacramento, California 95834 or by telephone at (800) 952-5210 or (916) 445-1254.

26 Miscellaneous

These Legal Terms and any policies or operating rules posted by us on the Services constitute the entire agreement and understanding between you and us. Our failure to exercise or enforce any right or provision of these Legal Terms shall not operate as a waiver of such right or provision.

27 Acceptable Use Policy

Users may not use EasilyAI to create deepfake content, non-consensual intimate imagery, hate speech, fraudulent content, or any material that violates applicable laws. EasilyAI reserves the right to suspend or terminate accounts found in violation without prior notice or refund.

28 DMCA & Copyright Takedown

EasilyAI respects intellectual property rights. If you believe content processed through our platform infringes your copyright, contact us at [email protected]. We reserve the right to remove infringing content and terminate repeat infringer accounts.

29 No Refund on Consumed Credits

All payments are final. Credits or tokens consumed through AI processing are non-refundable, including in cases of unsatisfactory output quality, translation errors, or partial use.

30 Service Availability Disclaimer

EasilyAI does not guarantee uninterrupted or error-free service. We are not liable for losses resulting from downtime, processing delays, or third-party AI provider outages.

31 No Refund Policy

All sales are final. EasilyAI does not offer refunds on subscription plans, one-time credit purchases, or any other payments made through the Services, except where required by applicable law. Unused credits, whether from a subscription plan or a one-time purchase, are non-refundable. If you cancel your subscription, no refund will be issued for the current or any prior billing period.

32 AI Output Not Legal Advice or Professional Service

EasilyAI's transcriptions and translations are AI-generated and do not constitute certified, legal, medical, or professional translations. Users must not rely on outputs for legal, medical, or official proceedings without independent verification.

33 Data Processing Agreement (DPA) Acknowledgment

By using EasilyAI, users acknowledge that their content will be processed by third-party AI providers including OpenAI, ElevenLabs, Google Cloud AI, and AWS. Users consent to such processing as required to deliver the service. EasilyAI does not use your uploaded content to train its own AI models.

34 Account Sharing Prohibition

EasilyAI accounts are for individual or single business use only. Sharing account credentials or reselling access to the platform is strictly prohibited and will result in immediate account termination without refund.

35 One-Time Credit Purchases

In addition to subscription plans, EasilyAI offers one-time, non-recurring credit purchases ("Prepaid Credits"). Prepaid Credits are final and non-refundable upon completion of the transaction. Prepaid Credits expire twenty-eight (28) days from the date of purchase and will be automatically removed from your account at the end of that period. Prepaid Credits do not auto-renew, cannot be frozen, paused, extended, or transferred, and have no cash value. All one-time purchases are processed by Lemon Squeezy as Merchant of Record pursuant to Section 59.

36 Subscription Credits vs. Prepaid Credits

EasilyAI offers two distinct types of credits: (a) Subscription Credits — allocated monthly as part of an active subscription plan, expiring twenty-eight (28) days from the date of allocation and not rolling over to the next billing cycle; and (b) Prepaid Credits — purchased on a one-time basis, expiring twenty-eight (28) days from the date of purchase. Both credit types are non-transferable between accounts, cannot be frozen or paused, and have no cash value. In the event of account termination for any reason, all credits — whether Subscription or Prepaid — are permanently forfeited without refund.

37 Credit Expiration Policy

All credits issued by EasilyAI — whether as part of a subscription plan or purchased on a one-time basis — expire twenty-eight (28) days from the date of issuance or purchase. Expired credits are automatically removed from your account at the end of that period and may not be reinstated, refunded, frozen, paused, or extended under any circumstances. EasilyAI has no obligation to provide notice prior to expiration. Credits cannot be accumulated across billing periods and have no cash value.

38 Export Controls and Sanctions Compliance

You represent and warrant that you are not located in, and are not a national or resident of, any country that is subject to U.S. government embargo or that has been designated by the U.S. government as a "terrorist-supporting" country, including without limitation Belarus, Cuba, Iran, North Korea, Russia, Syria, and the Crimea, Donetsk, and Luhansk regions.

39 No Protected Health Information (PHI)

You may not provide any input, upload, or otherwise submit to the Services any Protected Health Information (PHI) as defined under HIPAA. EasilyAI is not a HIPAA-covered entity or Business Associate, and the Services are not designed or intended to comply with HIPAA requirements.

40 No AI Training on User Content

EasilyAI does not use your uploaded content, including transcriptions, translations, audio submissions, or any other materials you provide, to train, fine-tune, or improve EasilyAI's own AI models. Your content is processed solely to deliver the Services you have requested.

41 Chargeback Policy

EasilyAI maintains a zero-tolerance policy for fraudulent chargebacks. If you initiate a chargeback or payment dispute with your bank or payment provider for a valid charge made in connection with the Services, your account will be immediately and permanently suspended pending resolution.

42 One-Year Limitation on Claims

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, ANY CLAIM OR CAUSE OF ACTION ARISING OUT OF OR RELATED TO THESE LEGAL TERMS OR THE SERVICES MUST BE FILED WITHIN ONE (1) YEAR AFTER THE DATE ON WHICH SUCH CLAIM OR CAUSE OF ACTION FIRST AROSE. ANY CLAIM NOT BROUGHT WITHIN THIS PERIOD SHALL BE PERMANENTLY BARRED.

43 Third-Party Voice and Speech AI Providers

Certain voice synthesis, audio dubbing, speech recognition, text-to-speech, and translation features of the Services are powered by third-party AI providers, including ElevenLabs, Inc., Microsoft Azure AI, and Google Cloud AI. By using any voice-related or speech processing features of the Services, you acknowledge that your content and data may be transmitted to and processed by one or more Voice AI Providers in accordance with their applicable terms of service and privacy policies.

44 Force Majeure

EasilyAI shall not be liable for any failure or delay in the performance of the Services resulting from causes beyond our reasonable control, including but not limited to: acts of God, natural disasters, war, terrorism, civil unrest, epidemics or pandemics, government actions or regulations, power outages, internet or telecommunications failures, cyberattacks, or the failure, suspension, or discontinuation of services provided by third-party providers including OpenAI, ElevenLabs, Google Cloud AI, and Amazon Web Services.

45 Beta Features and Experimental Services

From time to time, EasilyAI may offer features, tools, or services that are in beta, preview, pilot, or experimental status ("Beta Features"). Beta Features are provided "AS IS" and "AS AVAILABLE" without any warranty of any kind, express or implied. Beta Features may be incomplete, contain errors, or be subject to significant changes or discontinuation at any time without notice.

46 Severability

If any provision of these Legal Terms is found by a court or arbitrator of competent jurisdiction to be invalid, illegal, or unenforceable under applicable law, such provision shall be modified to the minimum extent necessary to make it enforceable, or if modification is not possible, it shall be severed from these Legal Terms.

47 Waiver

No failure or delay by EasilyAI in exercising any right, power, or privilege under these Legal Terms shall operate as a waiver of that right, power, or privilege. A waiver of any breach or default shall not constitute a waiver of any subsequent breach or default. All waivers must be in writing and signed by an authorized representative of EasilyAI to be effective.

48 Material Changes Notice Policy

EasilyAI reserves the right to modify these Legal Terms at any time. For changes that we, in our sole discretion, consider material — including changes to pricing, data usage rights, liability limitations, or dispute resolution mechanisms — we will endeavor to provide at least fourteen (14) days' prior notice via email or a prominent notice on the Services.

49 Controlling Language

These Legal Terms are drafted in English, which is the official and controlling language of this agreement. Any translation provided is solely for convenience. In the event of any conflict between the English version and any translated version, the English version shall prevail and be binding.

50 Entire Agreement

These Legal Terms, together with our Privacy Policy and any other policies or notices posted on the Services, constitute the entire agreement between you and EasilyAI with respect to the subject matter hereof, and supersede all prior and contemporaneous agreements, representations, warranties, and understandings between the parties.

51 AI-Generated Output Disclaimer and Copyright

AI-generated outputs produced through the Services, including transcriptions, translations, voice synthesis, and dubbing, may not be eligible for copyright protection under applicable law in certain jurisdictions. EasilyAI makes no representation or warranty that any output generated through the Services will qualify for copyright protection or constitute an original work of authorship.

52 Third-Party AI Provider Terms and Liability

The Services rely on third-party AI providers including, without limitation, OpenAI, ElevenLabs, Google Cloud AI, and Amazon Web Services (collectively, "AI Providers"). By using the Services, you acknowledge and agree that your content may be transmitted to and processed by AI Providers subject to their respective terms of service, usage policies, and privacy policies.

53 Deepfake, Voice Cloning, and Biometric Data

Voice recordings, facial likenesses, and similar biometric identifiers processed through the Services may constitute biometric data under applicable laws in certain jurisdictions, including the Illinois Biometric Information Privacy Act (BIPA), the EU General Data Protection Regulation (GDPR), and similar laws. You represent and warrant that you have obtained all legally required consents from any identifiable individuals whose voice, likeness, or biometric identifiers are included in any content you submit to the Services.

54 GDPR and International Data Protection
